Essilor Vision Foundation Serving More Than 70,000 Children

DALLAS – Dec., 2011 – The Essilor Vision Foundation is pleased to announce it has screened more than 70,000 children and provided over 15,000 pairs of glasses as it nears its fourth anniversary in the spring of 2012. Alcon and Novartis Agree to Merger Terms

HUENENBERG, Switzerland—Alcon, Inc. (NYSE: ACL) announced yesterday that its board of directors approved a merger agreement with Novartis AG, whereby Novartis will pay a total merger consideration valued at $168 per share for the Alcon shares it does not currently own. Under the terms of the deal, the merger consideration will be comprised of a combination of Novartis shares and, if necessary, a cash contingent value amount to result in a total value of $168 per share. The exact exchange ratio and cash contingent value amount will be calculated based upon formulas set forth in the merger agreement. In accordance with Alcon’s Organizational Regulations and after receiving a fairness opinion from its independent financial adviser, Greenhill & Co., the Independent Director Committee (IDC) recommended approval of the merger agreement to the Alcon board. The board also received a separate fairness opinion rendered by Lazard in connection with the transaction. Alcon Board Elects New Chairman

HUENENBERG, Switzerland— The Alcon, Inc. (NYSE:ACL) board of directors elected Dr. Daniel Vasella as its chairman of the board, replacing Cary Rayment who had served as chairman since 2005. Dr. Vasella is also chairman of the board of Novartis AG, which became Alcon’s majority owner after it purchased 52 percent of Alcon’s shares from Nestle SA on Aug. 25, 2010, bringing its total share ownership to approximately 76 percent. He has served on the board of Alcon since 2008. Rayment will remain on the board and will serve as its vice-chairman. Kevin Buehler, Alcon’s president and chief executive officer said, “I welcome Dr. Vasella into the chairman position and look forward to working with him on Alcon board matters. We are pleased that we will be able to continue to benefit from Mr. Rayment’s extensive experience in the eyecare industry in his role as vice-chairman. Alcon Independent Director Committee Pledges to Work for Best Deal for Stockholders in Wake of Novartis’ Purchase of Nestle’s Shares

HUENENBERG, Switzerland—In the wake of last week’s acquisition by Novartis (NYSE: NVS) of Nestle’s remaining shares in Alcon (NYSE: ACL), the committee representing Alcon’s remaining independent shareholders of Alcon said the transaction’s closing does not impact its position. In a statement following the Aug. 26 completion of the $28.3 billion Novartis/Nestle deal—which took Novartis’ stake in Alcon up to about 77 percent, as reported in VMail that day—the Alcon Independent Director Committee (IDC) described the closing as “an expected step [that] does not impact the IDC’s position with respect to Novartis’ merger proposal to minority shareholders. Said Thomas Plaskett, the IDC’s chairman, “We look forward to negotiating a deal that affords fair value to Alcon’s minority shareholders.” Plaskett added, “An agreed transaction is in the best interests of stakeholders and is clearly preferable to protracted litigation, which would delay critical steps in the integration process. However, we are ready to defend the rights of Alcon and its minority shareholders if Novartis refuses to negotiate a fair deal.”

Novartis Completes $28.3 B Purchase From Nestle of Majority Interest in Alcon

HUENENBERG, Switzerland—In an announcement earlier today, Novartis AG (NYSE: NVS) and Nestle S.A. said that they have completed the purchase and sale of approximately 156 million shares of Alcon, Inc. (NYSE: ACL) for US$28.3 billion in cash. The transaction was consummated based on an agreement between Nestle and Novartis that was executed on April 6, 2008. With the completion of this transaction, Novartis is now Alcon’s majority shareholder and controls approximately 77 percent of Alcon’s outstanding shares.
